These terms explain how you may use our website and the basis on which we provide our services. If you become a client, your proposal or statement of work together with these terms forms our agreement. Please also read our Privacy Policy and Cookie Policy.
1. About these terms
This website is operated by WeWebMedia Ltd ("WeWebMedia", "we", "us" or "our"), a company registered in England and Wales under company number [company number], with its registered office at [registered office address]. Our VAT number is [VAT number].
Our services are provided to businesses only. By using our website or accepting a proposal, you confirm that you are acting for business purposes and have authority to agree to these terms on behalf of your organisation.
If anything in a signed proposal or statement of work conflicts with these terms, the proposal or statement of work takes priority for that engagement.
2. Our services
We provide digital marketing services, which may include:
- Paid media management: Google Ads, Microsoft Advertising, Facebook and Instagram advertising and retargeting.
- Search and web: SEO, website design and development, and landing page optimisation.
- Measurement: tag implementation, analytics, consent and conversion tracking.
- Other services: AI voice agents, Comparison Shopping Service (CSS) programmes and consulting.
The exact scope, deliverables, timelines and fees for each engagement are set out in your proposal or statement of work. Work outside that scope may be quoted and charged separately. Free audits and strategy calls are provided for information only and don't create an obligation on either side.
3. Fees, ad spend & payment
Unless stated otherwise, fees exclude VAT, which will be added at the applicable rate. Invoices are payable within 14 days. If payment is late, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and pause services after giving you notice.
You are responsible for your advertising budgets. We will manage campaigns in line with the budgets you approve, but platforms may occasionally spend above daily limits in line with their own policies.
4. Your responsibilities
To help us do our best work, you agree to:
- Provide accurate information, timely feedback and approvals.
- Give us the account access we reasonably need, and keep your own logins secure.
- Ensure your products, services, website, claims and content are lawful and comply with advertising platform policies and consumer protection law.
- Make sure you have the rights to any materials, trademarks and data you give us to use.
- Maintain a valid cookie consent solution and privacy information on your website where tracking is used.
We aren't responsible for delays or issues caused by missing information, late approvals or changes made to accounts or websites by you or other third parties.
5. Account ownership & access
Your accounts are yours. Advertising, analytics, tag manager, Merchant Center and similar accounts should be owned by you, with WeWebMedia granted manager or user access. Where we create an account on your behalf, we'll transfer ownership to you on request.
When our engagement ends, we will remove our access on your request and won't delete your campaigns, data or history. Our own internal tools, templates, scripts and reporting systems remain ours.
6. Results & third-party platforms
We use our experience to improve performance, but marketing results depend on many factors outside our control, such as competition, seasonality, your pricing and website, and platform algorithms. We don't guarantee specific rankings, traffic, leads, sales or return on ad spend. Any forecasts or case study figures are illustrative and not a promise of future results.
Advertising platforms, search engines and other third parties may change their policies, features, pricing or algorithms, suspend accounts or disapprove ads at any time. We'll help you respond, but we aren't responsible for their decisions. References to Google, Microsoft, Meta and other brands are for identification only; WeWebMedia is independent and not part of those companies.
7. Intellectual property
Once you've paid the relevant fees in full, you own the final deliverables we create specifically for you — such as ad copy, creative, landing pages and website designs — excluding third-party materials (for example stock images, fonts, plugins and software), which remain subject to their own licences.
We keep ownership of our pre-existing materials, know-how, methods, code libraries and templates, and grant you a non-exclusive licence to use any that are built into your deliverables. Unless you ask us not to, we may mention you as a client and describe our work in general terms; we'll always get your approval before publishing specific results.
8. Confidentiality & data protection
Each of us will keep the other's confidential information private and use it only for our work together, except where disclosure is required by law. This continues after our engagement ends.
Where we process personal data on your behalf (for example inside your ad or CRM accounts), we act as your data processor and will do so under a data processing agreement that meets UK GDPR requirements. How we handle personal data as a controller is explained in our Privacy Policy.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot be limited by law.
Subject to that, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or data, and we are not liable for advertising spend or for the acts of third-party platforms. Our total liability arising from any engagement is limited to the fees you paid us for the relevant services in the 12 months before the claim arose.
10. Term & termination
Ongoing services continue until either of us ends them. Unless your proposal says otherwise, either party can terminate ongoing services by giving 30 days' written notice. Any minimum term in your proposal still applies.
Either party may terminate immediately if the other materially breaches these terms and doesn't fix the breach within 14 days of being asked to, or becomes insolvent. On termination you'll pay for work done and fees due up to the end date, and we'll hand over access and deliverables you've paid for.
11. Using our website
You may use our website for lawful purposes only. You must not try to gain unauthorised access to it, introduce malicious code, scrape it at scale or use it in a way that could damage or overload it.
Content on our website, including blog articles and guides, is general information rather than professional advice for your situation. We try to keep it accurate and up to date but can't guarantee it. Links to other websites are provided for convenience and we aren't responsible for their content.
12. General & governing law
- Changes: we may update these terms from time to time. The latest version will always be on this page. Changes won't affect a signed proposal without your agreement.
- Events outside our control: neither party is liable for delays caused by events beyond its reasonable control, such as platform outages.
- Subcontractors: we may use trusted specialists to help deliver services and remain responsible for their work.
- Entire agreement: these terms and your proposal form the whole agreement between us for the services.
- Governing law: these terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
